Important: ContractsCompare is a document comparison and analysis tool. It is not a law firm and does not provide legal advice. Nothing in this service constitutes legal advice or creates an attorney-client relationship.

1. Acceptance of Terms

By accessing or using ContractsCompare (app.contractscompare.com), you agree to be bound by these Terms of Service. If you do not agree, do not use the service. These terms apply to all users of the free tier and any paid subscription tiers.

2. Description of Service

ContractsCompare provides a web-based platform for comparing multiple versions of legal agreements and displaying redline differences across sequential negotiation turns. The service also offers AI-powered clause analysis as a paid feature.

The core comparison engine is covered by U.S. Patent No. US-11227107-B2.

3. Not Legal Advice

ContractsCompare is a productivity and workflow tool. All AI-generated analysis, suggested language, negotiation insights, and precedent references are provided for informational purposes only and do not constitute legal advice.

AI suggestions are generated by automated systems and may contain errors, omissions, or analysis that is inappropriate for your specific situation. You should always review AI-generated suggestions with qualified legal counsel before incorporating them into any agreement.

Use of ContractsCompare does not create an attorney-client relationship between you and EasyReader Technology LLC or any of its affiliates.

4. Your Documents and Data

When using the free comparison tier, your documents are processed entirely within your browser and are never uploaded to our servers.

When using the AI analysis feature, the text of clauses you select for analysis is transmitted to Anthropic's API for processing. By using the AI analysis feature, you represent that you have the right to share such content with third-party processors and that doing so does not violate any confidentiality obligations, attorney-client privilege, or applicable law.

You retain all ownership rights to your documents. We claim no ownership over any content you upload or analyze using our service.

The ContractsCompare platform, including its patented multi-version comparison engine (U.S. Patent No. US-11227107-B2), software, design, and content, is owned by EasyReader Technology LLC and protected by applicable intellectual property laws.

The precedent library included in the AI analysis feature contains excerpts from publicly filed SEC documents, which are in the public domain.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. EASYREADER TECHNOLOGY LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED ANALYSIS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASYREADER TECHNOLOGY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM RELIANCE ON AI-GENERATED ANALYSIS OR SUGGESTED LANGUAGE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless EasyReader Technology LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these terms, or your violation of any third-party rights.

10. Modifications to Service and Terms

We reserve the right to modify or discontinue the service at any time. We may update these Terms of Service periodically. Continued use of the service after changes constitutes acceptance of the new terms. Material changes will be noted by updating the "Last updated" date above.

11. Governing Law

These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Hudson County, New Jersey.
